Believe it or not, being friends is actually a good start. I'm not saying you have go all out on being her friend or anything, but let her get to know just a bit more. It's more awkward for girls when it comes to dating than it is for guys, so it's best for her to know exactly who it is she might get involved with. Tora-chan's right also. That's a very good start.
From what I've read so far (this might be obvious, but I'm going to point it out anyway) that you two are 'kind of' close; you both will talk to each other, but at the same time you two don't really hang out. I'd recommend you two try and hang out a bit for awhile before you try anything. Find out a little more about her and vice versa, basically being her friend.
